These Terms and Conditions ("Terms") govern your use of the services provided by Vigil Voice AI LLC ("Vigil Voice AI," "we," "us," or "our"), including our AI-powered virtual receptionist service and related software, websites, and communications (collectively, the "Service").
By using the Service — whether as a caller interacting with our AI receptionist, a client business subscribing to the Service, or a recipient of our text messages — you agree to be bound by these Terms. If you do not agree, please do not use the Service.
Vigil Voice AI provides an AI voice agent that answers phone calls on behalf of small business clients. The AI agent may book appointments, capture lead information, answer common questions, and send communications related to appointments and caller interactions. The Service may also send text messages to callers who consent.
You must be at least 18 years old to subscribe as a client business. If you are using the Service as a caller, you may interact with the AI agent at any age permitted by the calling business; however, our text messaging program requires you to be 18 or older.
The Service records phone calls answered by Vigil Voice. By using the Service, you:
Some U.S. states require two-party consent for call recording (including California, Connecticut, Delaware, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Pennsylvania, and Washington). Vigil Voice's automated disclosure is designed to support compliance with these laws at the start of every call, but you remain responsible for determining whether additional disclosures are required for your specific use.
You agree not to use the Service in any manner that violates the Telephone Consumer Protection Act (TCPA), Do-Not-Call Registry regulations, the CAN-SPAM Act, or similar laws.
Client businesses must register an account to use the Service. You agree to provide accurate and current information, maintain the confidentiality of your account credentials, and be responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms.
By verbally consenting during a call with our AI receptionist to receive text messages, you agree to the following terms.

Consent to receive text messages is not a condition of purchase or of using the Service.

Transactional and informational text messages related to appointments booked through the Service, including:
Up to 8 messages per appointment cycle. Actual frequency depends on your activity (booking, rescheduling, cancellations).
Standard message and data rates may apply, as set by your wireless carrier. Vigil Voice AI does not charge for messages.
Reply HELP at any time to receive a message containing our brand name, a description of the program, support contact information, and opt-out instructions.
Reply STOP at any time to cancel. You will receive one final confirmation message and no further text messages from this program. To re-subscribe after opting out, you must provide consent again during a future call.
Mobile phone numbers and consent information collected through this SMS program will not be sold, rented, or shared with third parties for marketing purposes. Information sharing with third parties is limited to what is necessary to operate the messaging service (for example, our messaging provider).
Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to network conditions and carrier policies.

The Service uses artificial intelligence to interpret calls and generate responses. While we work to provide accurate and reliable performance, AI systems can make errors, including misunderstanding spoken information, misinterpreting context, or generating inaccurate responses.

If a confirmation message contains inaccurate information, please reply with corrections, contact the business directly, or email support@vigilvoiceai.com.
The Service integrates with third-party services including Google Calendar, Google Gmail, Microsoft Outlook, Microsoft Office 365, Stripe, and others. Your use of these integrations is subject to the respective third-party terms of service and privacy policies.
Google API Services User Data Policy. Vigil Voice's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
Microsoft Graph API Terms. Use of Microsoft Outlook and related Microsoft services through Vigil Voice is subject to the Microsoft APIs Terms of Use.
Vigil Voice is not responsible for the practices, availability, or actions of third-party services. If a third-party service is unavailable, modifies its API, or terminates its service, related Vigil Voice features may be affected.
You agree not to:
The Service, including all software, content, designs, and trademarks, is owned by Vigil Voice AI LLC or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of the Service without our written permission.
You agree to indemnify, defend, and hold harmless Vigil Voice AI LLC and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Service, or your violation of any law or third-party rights.
Subscription plans. The Service is offered on a subscription basis. Current plans and pricing are available on our website or as communicated to you at sign-up.
Billing. Subscription fees are billed in advance and are non-refundable except as required by law or explicitly stated otherwise.
Automatic renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. By subscribing, you authorize Vigil Voice to charge your payment method on the renewal date.
Price changes. We may change pricing with at least 30 days' notice. Changes apply at your next renewal.
Failed payments. If a payment fails, we may suspend access to the Service. We will notify you and provide reasonable opportunity to update your payment method.
Cancellation. You may cancel your subscription at any time through your account settings or by contacting support@vigilvoiceai.com. Cancellation takes effect at the end of the current billing period; you retain access until then.
Payments are processed by Stripe, Inc. Vigil Voice does not store full payment card numbers.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
We may modify these Terms from time to time. The updated version will be posted with a new "Effective Date." Material changes will be communicated to client businesses via email. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. You may stop using the Service at any time. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
